How you may use Frametry. Plain English where possible; the words still mean what they mean in court.
This End User License Agreement ("EULA") is a binding contract between you ("you", "Customer") and Frametry, Inc. ("Frametry", "we", "us") governing your use of the Frametry web application, mobile applications, edge functions, and any related services (collectively, the "Service"). By signing up, installing, or otherwise accessing the Service you agree to be bound by this EULA and by our Privacy Policy and Terms of Service. If you do not agree, do not use the Service.
Subject to your continued compliance with this EULA and timely payment of applicable subscription fees, Frametry grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes during your active subscription term.
You agree not to: (a) reverse engineer, decompile, or disassemble the Service except where permitted by applicable law; (b) sublicense, resell, rent, lease, or otherwise transfer your access; (c) use the Service to build a competing product; (d) attempt to gain unauthorized access to other Customers' data; (e) scrape, mass-download, or otherwise harvest data you do not own; (f) impersonate another contractor, client, or sub; (g) interfere with the Service's normal operation including by submitting malicious payloads, conducting denial-of-service attacks, or probing for vulnerabilities outside an authorized disclosure program; or (h) use the Service in violation of any applicable law.
You retain all ownership rights in the data and content you upload, enter, or generate using the Service ("Customer Data"). You grant Frametry a worldwide, royalty-free license to host, copy, process, transmit, and display Customer Data solely to the extent necessary to operate the Service and provide it to you. Customer Data is never sold, never used to train third-party AI models, and is deleted on request per our Privacy Policy.
The Service connects to third-party services that you may optionally enable (e.g. QuickBooks Online, Stripe Connect, Resend, Twilio, OpenAI). When you enable an integration you authorize Frametry to transmit Customer Data to and from that third party as necessary to provide the integration's functionality. Each third party's use of Customer Data is governed by its own terms and privacy practices, listed at /integrations. You can revoke any integration at any time from Settings → Integrations.
You are responsible for all activity that occurs under your account, including activity by your team members, subs, and clients you grant access to. Keep credentials confidential. Notify us promptly at [email protected] of any suspected unauthorized access.
The Service is billed on a recurring subscription basis. Billing terms, plan limits, and add-ons are described at our pricing page and in your Billing settings. Cancellations take effect at the end of the current billing period; access continues through that date. We may suspend or terminate your access for material breach of this EULA, non-payment, or where required by law, after reasonable notice except in cases involving security or fraud.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. FRAMETRY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FRAMETRY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. AI-GENERATED CONTENT IS A TOOL — NOT PROFESSIONAL ADVICE. Construction management decisions remain yours.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRAMETRY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS EULA WILL NOT EXCEED THE FEES YOU PAID TO FRAMETRY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT WILL FRAMETRY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You will defend, indemnify, and hold harmless Frametry from third-party claims arising out of your breach of this EULA, your Customer Data, or your use of the Service in violation of law.
We may update this EULA from time to time. Material changes will be announced via in-app notice or email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
This EULA is governed by the laws of the State of Texas, USA, without regard to its conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Travis County, Texas, and you consent to personal jurisdiction there.
